Terms of Service

1. Who provides this service

This client portal (“the Portal”) is operated by Adept IT Solutions (ABN 92 603 162 607), a managed service provider registered in Australia (“Adept IT”, “we”, “us”, or “our”). By accessing the Portal you agree to these Terms of Service (“Terms”) in full.

The Portal is made available exclusively to organisations that have an active managed services agreement with Adept IT Solutions. Access is not available to the general public.

2. Access and accounts

Access to the Portal is granted by invitation only. Your organisation's administrator may invite users via email. You are responsible for:

  • Keeping your Microsoft account credentials secure.
  • All activity that occurs under your account.
  • Notifying Adept IT immediately if you suspect unauthorised access.

We reserve the right to suspend or revoke access at any time if we reasonably believe these Terms have been breached.

3. Acceptable use

You may use the Portal solely for the purpose of managing and reviewing IT services delivered to your organisation by Adept IT Solutions. You must not:

  • Attempt to gain unauthorised access to any part of the Portal or its underlying infrastructure.
  • Use automated tools, scrapers, or bots to access the Portal at a rate that imposes unreasonable load.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Portal.
  • Use the Portal to store or transmit malicious code, spam, or unlawful content.
  • Share your login credentials or provide Portal access to individuals outside your organisation.
  • Use the Portal in any way that violates applicable Australian law or the laws of your jurisdiction.

Breach of these rules may result in immediate suspension of access and, where appropriate, referral to law enforcement.

4. Intellectual property

All software, design, content, and documentation that makes up the Portal is the exclusive intellectual property of Adept IT Solutions or its licensors. Nothing in these Terms grants you any ownership interest in the Portal.

Data that you or your organisation contribute to the Portal — such as approved budgets, project details, and service request descriptions — remains your property. You grant Adept IT a limited licence to process that data solely to deliver the services described in your managed services agreement.

Third-party data displayed in the Portal (device information, licence counts, security scores, etc.) is sourced from integrated platforms and remains subject to those platforms' own terms and intellectual property rights.

5. Fees and payment

Access to the Portal is provided as part of your managed services agreement with Adept IT Solutions. The Portal does not process payments directly. All billing, invoicing, and payment terms are governed exclusively by your managed services agreement and any associated order forms.

If your managed services agreement is terminated or lapses, your access to the Portal will be suspended. We retain your data for 90 days following termination, after which it is permanently deleted unless a legal hold applies.

6. Availability and changes

We aim to keep the Portal available at all times but do not guarantee uninterrupted access. We may perform maintenance, deploy updates, or temporarily restrict access without prior notice.

We reserve the right to modify or discontinue any feature of the Portal at any time. Material changes that affect your use of the Portal will be communicated via the in-portal announcement system with reasonable notice.

7. Disclaimer of warranties

The Portal is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Data displayed in the Portal is sourced from third-party integrations and may not always be complete, accurate, or current. You should not rely solely on Portal data when making business or financial decisions without independent verification.

8. Limitation of liability

To the maximum extent permitted by Australian law, Adept IT Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of — or inability to use — the Portal, including but not limited to loss of data, loss of revenue, or business interruption.

Our total aggregate liability to you for any claim relating to the Portal will not exceed the amounts paid by your organisation to Adept IT Solutions in the three months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, or for any liability that cannot be excluded by law under the Australian Consumer Law.

9. Third-party services

The Portal integrates with third-party platforms including Microsoft Entra ID, Datto RMM, RoboShadow, Autotask, Pax8, and Huntress. Your use of those platforms is governed by their respective terms of service. Adept IT is not responsible for the availability, accuracy, or conduct of any third-party service.

10. Governing law and disputes

These Terms are governed by the laws of the State of New South Wales, Australia. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales.

Before commencing formal proceedings, the parties agree to attempt to resolve any dispute in good faith by written notice, allowing 30 days for the other party to respond.

11. Changes to these Terms

We may update these Terms from time to time. The date at the top of this page reflects the most recent revision. Continued use of the Portal after changes are published constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the Portal and contact us to arrange offboarding.
